Amara NZero Group successfully concludes recapitalisation process, strengthening its balance sheet and focusing on accelerating growth globally

Madrid, Spain, 15 May 2026 -- Amara NZero Group (the “Group”), a leading energy transition specialist focused on decarbonisation, services and electrification, today announced that it has successfully completed the comprehensive recapitalisation of the Group’s capital structure. The transaction has been implemented with the full support and investment from Cinven, which will continue to be its controlling shareholder, the Group’s banks and 99% by value of its senior secured noteholders, who agreed to the recapitalisation earlier this year.

The recapitalisation puts the business in a strong financial position with materially improved leverage ratio, significantly reduced interest payments and the injection of €40 million in new cash funding.

Amara NZero is strategically positioned to grow and benefit from the long-term structural trend of the net zero transition, as the fundamentals behind it remain relevant across the board, further driven by geopolitical forces and technological developments in the industry. The Group maintains leading positions in key markets across the world, underpinned by its best-in-class technological expertise and the ability to deliver integrated solutions in wind, solar, battery storage and electrification, as well as logistics and supported services. The solid, sustainable balance sheet allows Amara NZero to make further investments to build on the progress made so far on its plan to drive growth and improve profitability.

In connection with the recapitalization, the 10.25% Senior Secured Notes due 2028 issued by Green Bidco S.A.U. have been cancelled and are being delisted.
